These Digital Marketing Services Retainer Terms (“Terms”) govern the relationship between you (the “Client”) and Coast IT (“Service Provider”) regarding the provision of recurring digital marketing services delivered as monthly retainer packages. By engaging Coast IT, you agree to be bound by these Terms.
- Services Provided
Coast IT offers a suite of innovative digital marketing solutions, available as monthly packages designed for continuous improvement and strategic agility. Services may include, but are not limited to:- Search Engine Optimization (SEO): Ongoing strategies to enhance organic visibility and drive targeted traffic.
- Pay-Per-Click (PPC) Management: Continuous optimization and management of paid campaigns across platforms such as Google Ads and social media.
- Social Media Marketing: Monthly content planning, creation, and community engagement to drive brand interaction.
- Content Marketing: Regular production and distribution of high-quality content aimed at building thought leadership and fostering customer engagement.
- Email Marketing: Consistent campaign development, audience segmentation, and performance tracking to nurture leads and boost loyalty.
- Analytics & Reporting: Routine performance tracking, KPI analysis, and actionable insights to refine strategies and maximize ROI.
- Project Scope
The scope of services for each digital marketing package will be detailed in the monthly proposal or statement of work. Both parties must agree on the deliverables and strategic objectives before commencement. Adjustments requested by the Client that fall outside the predefined package scope may incur additional fees and require revised timelines. - Payment Terms
- Monthly Retainer: Services are delivered on a recurring monthly basis. The Client agrees to pay a fixed monthly retainer fee, as outlined in the selected package, which covers all services and ongoing management.
- Billing Cycle: Invoices will be issued on a monthly cycle with payment due within 7 days of invoice issuance.
- Supplementary Services: Any additional services or enhancements beyond the agreed monthly package will be billed separately.
- Contract Terms: Packages may be structured on a month-to-month basis or for a predetermined term, as mutually agreed upon in writing.
- Client Responsibilities
To ensure a seamless, results-driven partnership, the Client shall:- Provide all necessary brand assets, logos, and content in a timely manner.
- Grant access to existing digital channels and analytics tools critical for performance tracking.
- Offer prompt feedback and approvals to facilitate agile campaign adjustments.
- Comply with relevant advertising and regulatory standards.
Delays or non-compliance may impact the efficiency and outcomes of the monthly campaigns.
- Performance Metrics and Reporting
- KPI Establishment: Key performance indicators will be defined collaboratively at the start of each monthly cycle.
- Regular Reporting: Detailed, data-driven reports will be delivered on a monthly basis, covering traffic, conversion metrics, and ROI.
- Continuous Optimization: Insights derived from analytics will drive ongoing refinements to ensure maximum digital impact.
- Revisions and Approval
- Revision Allowance: Each monthly package includes a defined number of revisions for campaign elements, as specified in the proposal.
- Approval Process: Final approval for deliverables must be provided before proceeding with further optimizations. Additional revisions beyond the package scope may incur extra charges.
- Confidentiality and Data Ownership
- Client Data: All data, including analytics, customer lists, and proprietary content generated through digital marketing efforts, remain the property of the Client upon full payment.
- Confidentiality Commitment: Coast IT will maintain strict confidentiality of all Client information in compliance with applicable data protection regulations.
- Usage of Insights: Aggregated, anonymized data may be leveraged internally for service enhancement and strategic planning.
- Termination
- Termination Rights: Either party may terminate this agreement with written notice if the other party materially breaches any of these Terms.
- Obligations Upon Termination: The Client is responsible for payment for services rendered up to the termination date. Coast IT will facilitate a smooth handover of campaign data and assets, subject to any applicable transition fees.
- Limitation of Liability
Coast IT shall not be liable for any indirect, incidental, or consequential damages arising from the provision or use of the digital marketing services. The total liability is strictly limited to the aggregate fees paid by the Client under this agreement. - Governing Law
These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in South Africa. Both parties consent to the exclusive jurisdiction of the relevant courts within this region. - Amendments
Coast IT reserves the right to modify these Terms at any time. Significant amendments will be communicated in advance, ensuring transparency and providing the Client with an opportunity to review and discuss any changes prior to implementation.
