Intellectual Property and Licensing Terms

These Intellectual Property and Licensing Terms (“Terms”) govern the ownership and use of intellectual property created and utilized by Coast IT (“Service Provider”) in connection with the services provided to you (the “Client”). By engaging Coast IT for services, you agree to be bound by these Terms.

1. Ownership of Intellectual Property

  • Client Materials: The Client retains ownership of all materials, content, and intellectual property provided to Coast IT for the purpose of delivering services (“Client Materials”). The Client grants Coast IT a limited, non-exclusive, royalty-free license to use, reproduce, and display the Client Materials solely for the purpose of fulfilling its obligations under the service agreement.
  • Service Provider Materials: Coast IT retains all rights, title, and interest in and to any intellectual property created, developed, or provided by Coast IT in connection with the services (“Service Provider Materials”). This includes, but is not limited to, software, tools, methodologies, documentation, designs, and any derivatives thereof.

2. Licensing of Service Provider Materials

Upon full payment of all fees, Coast IT grants the Client a limited, non-exclusive, non-transferable license to use the Service Provider Materials in accordance with the terms outlined in the service agreement.

  • Permitted Use: The Client may use the Service Provider Materials solely for the intended purpose outlined in the project proposal. Any other use is prohibited without prior written consent from Coast IT.
  • Restrictions on Use: The Client shall not modify, distribute, sublicense, or create derivative works based on the Service Provider Materials without explicit written permission from Coast IT.

3. Third-Party Materials

In the course of providing services, Coast IT may utilize third-party materials or software that are subject to their own licensing terms. The Client agrees to comply with all such licensing terms as applicable.

  • Responsibility for Third-Party Licenses: The Client is responsible for obtaining any necessary licenses for third-party materials that may be required for the use of the final deliverables.

4. Confidentiality

Both parties agree to keep any proprietary or confidential information shared during the course of the engagement confidential and not to disclose it to any third parties without prior written consent, except as required by law.

5. Indemnification

The Client agrees to indemnify and hold harmless Coast IT from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of any breach of these Terms, including any claims related to the Client Materials or the Client’s use of the Service Provider Materials.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in South Africa.

7. Amendments

Coast IT reserves the right to amend these Intellectual Property and Licensing Terms at any time. Clients will be notified of any significant changes.
